Terms of service

Draft — pending legal review. This document is a draft under legal review and is not yet a final contractual offer. Highlighted passages are still to be confirmed.

1. Purpose

These terms govern the Add Your Shop service provided by SBrusse S.P.R.L. ("we") to businesses ("the Client"): building, hosting and maintaining an online shop linked to the Client's existing website, adding the Client's products and setting up online payments through Stripe.

2. Who the service is for

The service is for businesses established in the United Kingdom, France or Belgium. It is not offered to consumers.

3. Setup

The Client provides the information needed: products, prices, photos, collection, delivery or shipping options and seller details. We build the shop and submit it to the Client for approval before it goes live. Building the shop and adding the initial products are not charged for.

4. Price

There is no setup fee and no monthly fee. The Client pays us a commission of 5% of the amount of each sale made through the shop (excluding VAT; VAT treatment depends on the Client's country). The commission is collected automatically at the time of payment through Stripe (mechanism to be confirmed). Payment processing fees charged by Stripe are paid by the Client, at Stripe's current rates.

5. Payments and Stripe account

The Client opens and holds its own Stripe account and accepts Stripe's terms. Sales proceeds are paid out by Stripe to the Client's account. We never hold the Client's funds.

6. The Client as seller

The Client is the seller of the products offered in its shop. The Client alone is responsible for its products, prices and their compliance, for its obligations to its own customers (pre-contract information, cancellation rights, guarantees, allergens, alcohol sale rules) and for any licences or permits its business requires. We provide the tools to display this information.

7. Refunds and disputes

Refunds to end customers are made by the Client from its Stripe account. How the commission is treated on refunds is still to be specified. Payment disputes (chargebacks) are handled under Stripe's rules.

8. Availability and maintenance

We host the shop, keep it updated and secure, and do what is reasonable to keep it available. We cannot guarantee uninterrupted availability, in particular in the event of incidents at our providers.

9. Personal data

For end customers' data, the Client is the controller and we act as processor, in line with Article 28 of the GDPR and UK GDPR. A data processing agreement is attached to these terms (annex to be drafted).

10. Ownership

The Client keeps ownership of its content (text, photos, trade marks), its product data and its customer data. The shop software and templates remain ours.

11. Term and termination

The service has no minimum term. Either party can end it at any time by email (any notice period to be confirmed). When the service ends, we take the shop down and, on request, give the Client an export of its products and orders.

12. Liability

Our liability is limited to direct losses and capped at the commission received in the previous twelve months. We are not liable for indirect losses such as loss of turnover.

13. Governing law

These terms are governed by Belgian law. Competent court to be confirmed (Walloon Brabant enterprise court).
