In short
- We set up and run an online shop for your business, opened from a Shop tab on your own website.
- No setup fee, no monthly fee, no minimum term. We charge 2.5% of the total your customer pays for each order (products, delivery and taxes as charged), capped at €49 per shop per calendar month (£42 for shops selling in pounds). VAT on our commission is added where applicable. You receive a monthly invoice for any commission due.
- Payments go to your own Stripe account. Stripe charges its own fees directly; we never mark them up.
- You are the seller: your products, prices, consumer-law duties, refunds and deliveries are your responsibility. No commission is due on refunded or charged-back amounts.
- You can stop at any time: we take your shop offline within 5 working days. We can end the service with 30 days' notice, or immediately for a serious breach or illegal use.
- We tell you about any change to these terms by email at least 30 days before it applies, and you can leave before then at no cost.
- Our liability is capped at the greater of the commission you paid us in the previous 12 months and €1,000, with the exceptions set out in clause 13.
- We process your customers' data on your behalf, under our Data processing agreement.
- Belgian law applies. The English version of these terms prevails; a French version is provided.
This summary helps you find your way. It does not replace the terms below, which are what apply.
1. About these terms
1.1 These terms of service (the “Terms”) govern the Add Your Shop service provided by SBrusse SRL, a private limited company (société à responsabilité limitée) under Belgian law, with its registered office at Rue Auguste Baccus 14, boîte 2, 1350 Orp-Jauche, Belgium, enterprise number 0644.917.861, VAT BE0644917861 (“we”, “us”, “our”). They apply to the business that uses the Service (“you”, the “Merchant”).
1.2 The Service is for businesses only. By accepting these Terms, you confirm that you are acting for the purposes of your trade, business, craft or profession, and that the person accepting them is authorised to bind your business. The rules that protect consumers do not apply to this contract.
1.3 Our contract with you is made up of these Terms, our Acceptable use policy and our Data processing agreement (the “DPA”), together with any specific arrangement we confirm to you in writing, for example for a larger catalogue. If these documents conflict, the DPA prevails on the processing of personal data; otherwise these Terms prevail, unless a specific written arrangement expressly says that it overrides a clause.
1.4 Language. These Terms are drafted in English, and we provide a French version. If the two versions differ, the English version prevails. If your business is established in France, the French version is made available to you before you accept these Terms, and nothing in this clause limits the mandatory rules on the use of the French language that apply to you. You can contact us, and receive our support, in English or in French.
1.5 Where these Terms require something to be “in writing”, an email is enough.
2. Definitions
- Service: the setup, hosting, operation and maintenance of your Shop, as described in clause 3.
- Shop: the online shop we operate for your business, which your customers open from a link on your website (the “Shop tab”), including its product pages, basket, checkout and order emails.
- Platform: the software, templates, designs, tools and infrastructure we use to provide the Service, excluding Merchant Content.
- Merchant Content: everything you provide for your Shop, such as product names, descriptions, photos, prices, logos and other brand elements, opening hours, pickup and delivery details, your legal information and your terms of sale.
- Customer: anyone who places an order through your Shop.
- Order: a purchase made and paid for by a Customer through your Shop.
- Order Total: the total amount the Customer pays for an Order, as charged at checkout: product prices, any delivery charge and the taxes included in or added to them.
- Stripe: the Stripe entity that provides your Stripe account; for businesses in the European Economic Area and the United Kingdom, this is currently Stripe Payments Europe, Limited.
- Working day: Monday to Friday, excluding public holidays in Belgium.
3. The service
3.1 What we do. We set up and run an online shop for your business. Using the material you send us — a price list, a menu, photos or your current website — we:
- build your Shop with your logo and colours, in French, in English or in both;
- put your products online with their photos, descriptions and prices;
- set up the ways your Customers can receive their orders, as you choose: pickup or click & collect with time slots, local delivery zones, shipping rates;
- set up order emails: a notification to you for each Order and a confirmation to the Customer;
- guide you through opening your own Stripe account and connect it to your Shop;
- add the Shop link to your website, or give your web designer a one-line instruction to add it.
3.2 Launch catalogue. Setup includes up to 100 products at launch. For a larger catalogue, we confirm what is involved before we start, and agree any specific arrangement with you in writing.
3.3 Your approval. We show you your Shop before it goes live, and it goes live only with your approval. Before approving it, check that your products, prices, allergen information and legal information are complete and correct.
3.4 After launch. The Service includes hosting, security, software updates and support from our team by email and phone, in French and English. Send us your changes — new products, prices, opening hours, holiday closures, seasonal menus — and we make them, usually within one or two working days. This is a best-efforts commitment, not a guaranteed service level. Where your Shop lets you make a change yourself, you can also do so.
3.5 What the Service does not include. We are not a party to the sales between you and your Customers. We do not hold your Customers' payments, deliver your goods or give legal, tax or accounting advice. Templates and examples we provide, such as a template for your terms of sale, are a starting point that you must check and adapt.
3.6 Changes to the Service. We improve the Service and the Platform over time. If a change significantly reduces what the Service does for you, we give you notice in accordance with clause 14.
4. Getting started and access
4.1 Start of the contract. The contract starts when you accept these Terms — for example by confirming your acceptance by email or by ticking the acceptance box when you sign up — and we confirm that we will set up your Shop. We may decline a request, for example if your products are not allowed under our Acceptable use policy or if we do not serve your country.
4.2 Your details. Give us accurate information about your business — legal name, address, company and VAT numbers, and a contact person — and keep it up to date. We use it to set up your Shop, to show the seller information your Customers are entitled to, and to invoice you.
4.3 Access to your website. If you ask us to add the Shop link to your website, give us only the access needed for that task, ideally through a dedicated account that you can remove afterwards. We use that access only for that task. Your website, domain name and hosting remain your responsibility, and we are not responsible for problems caused by them or by the third parties who manage them.
4.4 Login details. If we give you login details for a tool, keep them confidential and tell us straight away if you think someone else has used them. You are responsible for what is done with your login details, unless the misuse results from our fault.
5. Your responsibilities as seller
5.1 You are the seller. Every sale made through your Shop is a contract between you and your Customer. Your business is shown as the seller, and you are responsible for your products, their descriptions, prices and availability, for preparing and delivering Orders, and for complaints, guarantees, returns and refunds.
5.2 Lawful products. You may only sell products and services that you are allowed to sell in every country where you sell them, and that comply with our Acceptable use policy and Stripe's rules. You must hold every registration, licence and authorisation your business needs, such as a food business registration or a licence to sell alcohol.
5.3 Consumer law. You must comply with the consumer protection rules that apply to your sales, in particular:
- Information. Give your Customers the information the law requires before and after the sale: your identity and contact details, the main characteristics of your products, the total price including taxes, any delivery charges, and the pickup or delivery arrangements.
- Right of withdrawal. Where it applies, tell your Customers about their right to withdraw from a distance purchase within 14 days, and honour it. The law excludes some goods from this right, notably goods liable to deteriorate or expire rapidly (such as fresh bread, pastries or cut flowers), goods made to the Customer's specifications or clearly personalised, and sealed goods that were unsealed after delivery and cannot be returned for health or hygiene reasons (article 16 of Directive 2011/83/EU; article L221-28 of the French Consumer Code; article VI.53 of the Belgian Code of Economic Law; regulation 28 of the UK Consumer Contracts Regulations 2013). Rely on these exceptions only where they genuinely apply.
- Online withdrawal function. In the European Union, where a right of withdrawal applies to a contract concluded online, the trader must also offer an online withdrawal function (article 11a of Directive 2011/83/EU, inserted by Directive (EU) 2023/2673 and applicable since 19 June 2026). Where the law requires a feature in the Shop itself, such as this function, we make it available in your Shop; you remain responsible for handling the withdrawals and refunds that follow.
- Legal guarantee. Honour the legal guarantee of conformity and any commercial guarantee you offer.
- Food information. For food, make the mandatory information available before the purchase is concluded, including the 14 allergens, and at the time of delivery (articles 9, 14 and 44 of Regulation (EU) No 1169/2011, and the equivalent rules in the United Kingdom).
- Alcohol. Respect the rules on selling alcohol wherever you sell it: hold any licence required, never sell to minors, ask Customers to confirm their age at checkout, and check it on collection or delivery where the law requires (in France, for example, the seller must require proof of age: article L3342-1 of the Public Health Code; in the United Kingdom, the Licensing Act 2003 applies). Respect the rules on alcohol advertising, such as the Loi Évin in France.
- Prices. Show accurate prices including VAT and any other taxes, delivery charges, and unit prices where the law requires them.
- Product safety. Sell only safe products and, for non-food products sold in the European Union, show the information required for online sales, such as the manufacturer's details, the product identification and any warnings (article 19 of Regulation (EU) 2023/988 on general product safety).
- Your legal information and terms of sale. Provide the legal notice, terms of sale and privacy notice of your Shop. We can provide a template, but you remain responsible for its content and for adapting it to your business.
5.4 Content. Merchant Content must be accurate, lawful and up to date, and you must hold the rights needed for us to use it under clause 9. Check your Shop regularly and tell us promptly if something needs to change, for example when a product sells out.
5.5 Taxes. You are responsible for the VAT and other taxes on your sales, and for your own accounting.
5.6 Your Customers' personal data. You are the controller of your Customers' personal data, and we process it on your behalf under the DPA. You must give your Customers the information required by data protection law.
5.7 Problems. Tell us promptly about any complaint, claim or request from an authority that concerns your Shop or the Service.
6. Payments through Stripe
6.1 Your Stripe account. Payments are processed by Stripe, an independent payment service provider. You open and hold your own Stripe account in your business's name, and you accept Stripe's terms directly, including the Stripe Services Agreement and, where your account is connected to our platform, the Stripe Connected Account Agreement. We are not a party to your agreement with Stripe.
6.2 Your money. Customers pay into your Stripe account, and Stripe pays the funds out to your bank account under its terms. We never hold your Customers' payments; the only amounts we receive are our commission under clause 7.
6.3 Stripe's decisions. Stripe decides independently on opening and verifying your account, on the payment methods available to you, and on payouts, reserves, holds and disputes. We are not responsible for Stripe's decisions, service or fees, but we help you deal with Stripe if something goes wrong.
6.4 Your authorisation. You authorise us to connect your Shop to your Stripe account and to use the access Stripe gives us to create payments for your Orders, collect our commission, process the refunds you ask for and read the payment information needed to run your Shop. If you disconnect your Stripe account from our platform, your Shop can no longer take payments.
6.5 Stripe and personal data. Stripe processes payment data as described in its privacy policy. For some purposes, such as fraud prevention and legal compliance, Stripe acts as an independent controller.
7. Fees, VAT and invoicing
7.1 No fixed fees. There is no setup fee, no monthly fee and no minimum term.
7.2 Commission. For each Order paid through your Shop, we charge a commission of 2.5% of the Order Total, that is, the total the Customer pays for the Order (products, delivery and taxes as charged).
7.3 Monthly cap. The commission is capped at €49 per Shop per calendar month, or £42 for a Shop that sells in pounds sterling. Once the commission for a calendar month reaches the cap, no further commission is due on Orders paid during the rest of that month. Each Shop is capped separately: a merchant with two Shops, for example for two locations, has two caps. Calendar months are counted in Brussels time, by the date on which the Order is paid.
7.4 Stripe's fees. Stripe's processing fees are not part of our commission. Stripe charges them to you directly under your agreement with Stripe, and we never mark them up. Our commission is calculated on the Order Total, before Stripe's fees.
7.5 VAT. Our commission and the cap are stated excluding VAT. VAT on our commission is added where applicable; where the reverse-charge mechanism applies, our invoice says so.
7.6 Collection. Where technically possible, we collect our commission automatically through the payment flow: Stripe deducts it from each payment as an application fee and transfers it to us. Otherwise, we invoice the commission at the end of each month, and our invoice is payable within 30 days of its date.
7.7 Monthly invoices. For each calendar month in which commission is due, we send you an invoice, which is also your monthly statement. It shows the Orders concerned, the commission, the cap where it applied, any refunds or credits, the VAT, and whether the commission has already been collected through Stripe or remains payable. Our invoices are electronic; where the law requires a structured electronic invoice, as Belgian law does since 1 January 2026 for invoices between VAT-registered businesses established in Belgium, we send it through the Peppol network.
7.8 Refunds. No commission is due on amounts you refund to your Customers, in full or in part. If we have already collected commission on a refunded amount, we refund it to you or credit it against future commission. Refunds are paid from your Stripe account; Stripe's own rules apply to its fees.
7.9 Chargebacks. You handle disputes with your Customers and with Stripe, and you bear chargebacks, dispute fees and related losses under Stripe's rules. No commission is due on amounts charged back to a Customer; we refund or credit any commission already collected on them.
7.10 Refunds and the cap. Refunded and charged-back amounts are deducted from the Order Totals of the month in which the Order was paid, whenever the refund or chargeback takes place. We then recalculate that month's commission, still subject to the cap, and refund or credit any difference.
7.11 Late payment. If an invoice is not paid on time, late-payment interest and compensation for recovery costs are due as provided by the Belgian Law of 2 August 2002 on combating late payment in commercial transactions. If an invoice remains unpaid 15 days after a reminder, we may suspend the Service under clause 12.4.
7.12 Price changes. We may change our prices for a valid reason, such as a change in our costs, in our providers' prices or in the Service, by giving you at least 30 days' notice by email. If you do not accept the change, you can end the contract before it applies, at no cost, under clause 12.2. A price change never applies to Orders paid before it takes effect.
8. Availability and support
8.1 Best efforts. We use reasonable efforts to keep your Shop available, secure and working, and to fix problems promptly. We aim to reply to you within one working day, but we do not commit to a specific availability rate or a guaranteed response time.
8.2 Maintenance. We may need to interrupt the Service for maintenance or updates. Where possible, we do this at quiet times and tell you in advance if your Shop may be affected.
8.3 Third-party services. The Service relies on third-party infrastructure, such as Cloudflare for hosting, on Stripe for payments (your own provider, see clause 6) and on telecommunications and card networks. We remain responsible for our subcontractors as set out in clause 16.3, but we are not responsible for the failures of Stripe or of networks that we do not control, nor for events covered by clause 15. In all cases, we do what we reasonably can to limit the impact on your Shop.
8.4 Security. We take appropriate technical and organisational security measures, described in the DPA. Card details are collected and processed by Stripe; we do not store card numbers.
9. Intellectual property
9.1 Your content stays yours. You keep all rights in Merchant Content. You grant us a non-exclusive, royalty-free, worldwide licence, for the duration of the Service, to host, reproduce, adapt (for example by resizing or cropping photos, formatting texts or, at your request, translating them), display and make available Merchant Content, to the extent needed to provide the Service.
9.2 Your guarantee. You guarantee that you hold the rights needed to grant this licence, and that Merchant Content does not infringe anyone else's rights or the law.
9.3 References. We do not use your name, logo or Shop as a reference or case study, or in our marketing, without your prior written permission. You can withdraw that permission at any time for the future.
9.4 The Platform stays ours. We or our licensors own the Platform, including its software, templates, designs and know-how. During the contract, you have a non-exclusive, non-transferable right to use the Service for your business. You may not copy, resell or reverse-engineer the Platform, except where the law expressly allows it.
9.5 Content we create for you. You may keep using, free of charge and also after the Service ends, the product texts and images we prepare specifically for your Shop, to the extent we hold rights in them. Our templates, designs and code remain ours.
9.6 Suggestions. If you send us ideas or suggestions about the Service, we may use them freely, without any obligation towards you.
10. Confidentiality
10.1 Each of us keeps confidential the non-public information received from the other in connection with the Service, such as business information, sales figures and security information, and uses it only to perform the contract.
10.2 This does not apply to information that is or becomes public through no fault of the receiving party, that it already knew lawfully, that it develops independently or receives lawfully from a third party, or that it must disclose by law or at the request of an authority, in which case it informs the other party first where it is allowed to.
10.3 These obligations apply during the contract and for three years after it ends. Personal data remain protected under the DPA for as long as we hold them.
10.4 We use your Shop's sales data only to provide the Service, to calculate and invoice our commission, to comply with the law and to produce aggregated statistics that do not identify you or your Customers. We never sell your data, use it to compete with you or use it to market to your Customers.
11. Data protection
11.1 When we process your Customers' personal data to run your Shop, you are the controller and we are your processor. The DPA, which forms part of these Terms, applies.
11.2 We process the personal data of your contact persons and staff as a controller, as explained in our Privacy policy.
11.3 Each of us complies with the data protection law that applies to it, including the General Data Protection Regulation (GDPR) and, where it applies, the UK GDPR.
12. Term, suspension and termination
12.1 Duration. The contract runs for an indefinite period, with no minimum term.
12.2 You can stop at any time. You can end the contract at any time, without giving a reason, by email to hello@addyour.shop or to your usual contact with us. We take your Shop offline within 5 working days of your request, or on a later date you choose. Commission remains due on Orders paid before your Shop goes offline, and you remain responsible for fulfilling or refunding those Orders.
12.3 We can end the contract with notice. We can end the contract by giving you 30 days' notice by email, and we tell you why.
12.4 Suspension. We may suspend all or part of the Service — for example by hiding a product or pausing checkout — where this is reasonably necessary: to comply with the law or an order from an authority; to stop illegal content or activity, or a serious breach of the Acceptable use policy; to deal with a security threat; where Stripe restricts or closes your Stripe account; or where an invoice remains unpaid 15 days after a reminder. We limit the suspension to what is necessary and lift it as soon as the problem is resolved.
12.5 Immediate termination. Either of us may end the contract immediately, by email, if the other commits a serious breach of it. On your side, this includes using the Service for illegal purposes, selling prohibited products, fraud, and a breach of the Acceptable use policy that is serious or repeated after a warning.
12.6 Reasons and review. When we restrict content, or suspend or end the Service, because of illegal content or a breach of these Terms, we tell you beforehand where possible and otherwise at the latest when the measure takes effect. We give you a clear statement of reasons: the measure and its duration, the facts and the rules concerned, whether the measure follows a report or our own checks, and how you can challenge it. You can contest our decision by replying to that email, and a member of our team will review it; you can also go to court.
12.7 At the end of the contract. When the contract ends:
- we take your Shop offline and remove its connection to your Stripe account (your Stripe account remains yours);
- during the 30 days after the end, you can ask us for an export of your product catalogue and Order history in a common format;
- at the latest at the end of those 30 days, we delete your Customers' personal data and Merchant Content, as set out in the DPA, except for what the law requires us to keep;
- we keep the records we need for our accounting and legal obligations, such as the Order references and amounts used to calculate our commission.
12.8 Survival. Clauses that by their nature continue after the end of the contract remain in force, in particular those on amounts due, content we created for you, confidentiality, liability, and governing law and courts.
13. Liability and indemnity
13.1 Our commitments are best-efforts obligations (obligations de moyens), except where these Terms clearly set out a specific result, such as taking your Shop offline within the agreed time.
13.2 We are liable for the direct damage caused by our breach of these Terms. We are not liable for indirect damage, such as loss of profit, turnover, customers or goodwill, or business interruption. Nor are we liable for damage caused by Merchant Content, your products, your website, your Customers, Stripe or other third-party services that are not our subcontractors, or by force majeure.
13.3 Our total liability arising out of or in connection with the contract is limited to the greater of: (a) the total commission you paid us in the 12 months before the event giving rise to the claim; and (b) €1,000.
13.4 These limitations do not apply to fraud, intentional misconduct or gross negligence, by us or by the people for whom we are responsible; to death or personal injury; or to any other liability that the law does not allow to be limited or excluded.
13.5 You will indemnify us against claims by third parties, including Customers and authorities, against fines and penalties that may lawfully be passed on, and against reasonable costs, including legal fees, that result from your products, Merchant Content, your sales and your relations with your Customers, or your breach of these Terms, the Acceptable use policy or the law. We tell you promptly about any such claim and cooperate with you in dealing with it.
14. Changes to these terms
14.1 We may change these Terms, the Acceptable use policy or the DPA for a valid reason, such as a change in the law or in guidance from an authority, a change to the Service or in our providers' terms, a security need, or to make them clearer.
14.2 We tell you about any change by email at least 30 days before it takes effect, with a summary of what changes. The new version and its effective date are published on this website.
14.3 If you do not agree with a change, you can end the contract before it takes effect, at no cost, under clause 12.2. If you continue to use the Service after that date, the new version applies.
14.4 A shorter notice period applies only where we must comply with a legal obligation, or must address an unforeseen and imminent danger such as fraud, malware or a security risk. We then tell you as soon as possible.
15. Force majeure
15.1 Neither of us is liable for a failure or delay caused by events beyond our reasonable control, such as natural disasters, epidemics, war, terrorism, strikes, decisions of public authorities, power or telecommunications failures, major outages at hosting or payment providers that are not caused by us, or cyber-attacks despite appropriate security measures.
15.2 The party affected informs the other promptly and does what it reasonably can to limit the consequences. If the situation lasts more than 30 days, either of us can end the contract by email, without compensation. Amounts already due remain payable.
16. General provisions
16.1 Notices. We send notices to the email address you gave us. You can send notices to hello@addyour.shop, or to legal@addyour.shop for legal matters.
16.2 Transfer. You may transfer the contract, for example when you sell your business, with our prior consent, which we will not refuse without good reason. We may transfer it to a company that takes over our business or to an affiliated company, after informing you, provided that your rights are not reduced.
16.3 Subcontractors. We may use subcontractors and service providers to provide the Service; those that process personal data are listed in the DPA. We remain responsible for their work, within the limits of clauses 13 and 15.
16.4 Independent parties. We are independent businesses. Except where you ask us to act for you in a specific task, such as issuing a refund in Stripe, neither of us acts as the other's agent.
16.5 Entire agreement. The documents listed in clause 1.3 form the entire agreement between us on the Service and replace any earlier proposal or discussion on the same subject.
16.6 Severability. If a clause is found to be invalid or unenforceable, the rest of these Terms remains in force, and the clause is replaced by a valid provision that comes as close as possible to its purpose.
16.7 No waiver. Not enforcing a right does not mean giving it up.
16.8 Evidence. Emails and the electronic records kept by us, by you or by Stripe, such as Order and payment records, may be used as evidence between us.
17. Governing law and courts
17.1 These Terms and the contract are governed by Belgian law.
17.2 If a dispute arises, please contact us first at legal@addyour.shop; we will try to find a solution with you within 30 days.
17.3 Failing an amicable solution, the Enterprise Court of Walloon Brabant (tribunal de l'entreprise du Brabant wallon, sitting in Nivelles, Belgium) has exclusive jurisdiction.
17.4 If your business is established in the United Kingdom, the same law and the same courts apply, unless mandatory rules of UK law provide otherwise.
